BINDING AGREEMENT
This Terms of Service Agreement (“Agreement”) constitutes a legally binding contract between Texvacrefrigerants.com (“Company,” “we,” “our”) and any individual or entity (“User,” “you,” “your”) accessing, browsing, or utilizing any services, features, or content available through our digital platform (“Site”). By accessing this Site in any manner, you irrevocably agree to be bound by all terms, conditions, policies, and notices contained herein. No exceptions or modifications will be recognized unless expressly authorized in writing by the Company’s legal representatives.
ELIGIBILITY AND AUTHORIZATION
Access to this Site is expressly conditioned upon:
(i) Your legal capacity to form binding contracts under applicable law;
(ii) Verification that you are at least 18 years of age;
(iii) Your explicit representation that you are not barred from receiving services under U.S. law or other applicable jurisdictions;
(iv) Your agreement to use this Site solely for legitimate business purposes in compliance with all environmental regulations, including but not limited to EPA Section 608 certification requirements for refrigerant handling.
ABSOLUTE RIGHT TO REFUSE SERVICE
The Company reserves the unequivocal and unrestricted right to:
(i) Deny, restrict, or terminate service to any individual or entity without notice or justification;
(ii) Cancel existing orders at our sole discretion;
(iii) Implement purchasing limits by customer, household, order quantity, or geographic region;
(iv) Blacklist any user suspected of fraudulent activity, policy violations, or unauthorized resale.
PRODUCT TERMS AND CONDITIONS
All products sold through this platform are subject to the following strict provisions:
(i) Pricing and availability are subject to change without notice;
(ii) Product descriptions may contain technical inaccuracies – buyers must verify specifications before purchase;
(iii) We expressly disclaim all warranties regarding product suitability for specific applications;
(iv) Certain refrigerants require proof of EPA certification prior to shipment – failure to provide documentation will result in order cancellation without compensation.
ORDER AND PAYMENT PROVISIONS
By placing an order, you warrant and represent that:
(i) All payment information provided is complete, accurate, and authorized;
(ii) You will not dispute valid charges through your financial institution;
(iii) You accept full financial responsibility for all purchases made under your account credentials;
(iv) You authorize us to verify your identity and payment method through third-party services.
INTELLECTUAL PROPERTY PROTECTION
The Site and its entire contents, features, and functionality are the exclusive property of the Company and are protected by U.S. and international copyright, trademark, and other intellectual property laws. No portion of this Site may be:
(i) Copied, reproduced, or distributed without express written authorization;
(ii) Reverse-engineered or decompiled;
(iii) Used to create derivative works;
(iv) Repurposed for commercial exploitation.
USER CONDUCT AND PROHIBITED ACTIVITIES
Strictly prohibited activities include but are not limited to:
(i) Any violation of EPA, OSHA, or other regulatory requirements;
(ii) Automated data scraping or unauthorized data collection;
(iii) Attempts to circumvent purchasing limits or access controls;
(iv) Submission of false certification documents;
(v) Any action that may damage our business reputation or operational integrity.
DISCLAIMER AND LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(i) THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED;
(ii) IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
(iii) OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE PURCHASE PRICE OF THE PRODUCT IN QUESTION;
(iv) WE ASSUME NO LIABILITY FOR PRODUCT MISUSE, IMPROPER HANDLING, OR UNAUTHORIZED APPLICATION.
INDEMNIFICATION OBLIGATIONS
You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from:
(i) Your breach of this Agreement;
(ii) Your violation of any law or third-party rights;
(iii) Your misuse of purchased products;
(iv) Any unauthorized account activity.
GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas without regard to conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you irrevocably submit to the personal jurisdiction of such courts.
MODIFICATION AND ENFORCEMENT
The Company reserves the unilateral right to:
(i) Modify these Terms at any time without prior notice;
(ii) Enforce this Agreement through all available legal remedies;
(iii) Assign our rights and obligations hereunder without restriction.
COMPLETE AGREEMENT
This document constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties.
